Sales Terms and Conditions for Vidir

​1. General

These terms apply to the purchase of products and services provided byVidir AS (“Vidir”, “we”, “us”) through our digital platforms or through direct agreement.

​By completing a purchase or using our services, the customer accepts these terms and conditions.

2. Nature of the Service

​Vidir offers access to structured climate-related products and services, including, but not limited to:

    • Access to carbon-related projects
    • Allocation and/or brokering of carbon units
    • Related documentation, data, and traceability
    • Reporting basis for climate-related activities

Vidir acts as a facilitator and structuring service, and not as a regulatory approved marketplace or financial institution.

3. No guarantee for climate claims or regulatory use

    Products and services provided by Vidir representclimate-related contributionsand documentation, but:

    • Do not constitute a guarantee that the Customer will achieve specific regulatory goals
    • Cannot necessarily be used to declare “climate neutrality” or similar claims
    • Must be assessed and used in accordance with applicable regulations, including CSRD and EU Green Claims Directive

    • The Customer is responsible for the correct use and communication of climate-related claims.

4. Delivery and allocation

    When purchasing carbon-related products:

    • The units will be allocated to the Customer according to the agreement
    • Documentation for origin, project, and volume will be made available
    • Where relevant, units may beretiredon behalf of the Customer

    • Delivery timing may vary depending on the project's development, verification, and issuance.

    5. Project Risk

    The Customer is aware that climate-related projects may involve risks, including:

    • Delays in production or verification
    • Changes in methodology or standards
    • Regulatory changes
    • Operational conditions in project countries

    • Vidir does not guarantee future production, price development, or availability beyond what is explicitly agreed.

    6. Price and Payment

    All prices are stated in NOK, EUR, or USD depending on the country you are logging in from, excluding VAT unless otherwise stated.

    • Payment is made according to the agreed payment plan
    • In case of late payment, interest and fees may apply
    • Delivery may be withheld in case of non-payment

    • 7. Use of Data and Documentation

    The Customer will have access to documentation and data related to purchased products.

    This information:

    • May be used for internal reporting and documentation
    • May not be altered or misrepresented
    • Must be used in accordance with applicable regulations

    • 8. Limitation of Liability

    Vidir is not responsible for:

    • Indirect loss, including loss of profit or reputation
    • The customer's use of products in communication or reporting
    • Third-party relationships related to projects

    • Vidir's total liability is limited to the amount the customer has paid for the relevant delivery.

    9. Intellectual property rights

    All technology, structuring, systems, and presentation materials provided by Vidir remain the property of Vidir, unless otherwise agreed.

    10. Termination and changes

    Vidir reserves the right to:

    • Update the terms
    • Change the service offerings

    • Changes will be published on the website and will take effect from the time of publication.

    11. Governing law and disputes

    These terms are governed by Norwegian law.

    Any disputes should be sought resolved amicably, and if this fails, brought before Norwegian courts.
